Terms of Service

These Terms of Service ("Terms") are an agreement between you and Bolbase ("Bolbase", "we", "us") and govern your use of bolbase.com and the Bolbase platform (together, the "Service"). By using the Service you agree to these Terms. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.

1. Early access

The Service is in early access. Features may be incomplete, may change or may be removed, and the Service may contain errors or be unavailable at times. We may limit or end access to early access features at any time.

2. Accounts

You must be at least 18 years old and use the Service for business purposes. You sign in with Google, Microsoft or a passkey. You are responsible for keeping those accounts and your devices secure and for activity that happens under your Bolbase account. Tell us right away at [email protected] if you believe your account has been used without your permission.

3. Acceptable use

You agree not to:

  • use the Service in violation of any law, sanction or export control;
  • upload or share forged, fraudulent or misleading documents, or use the Service to commit fraud;
  • upload content you do not have the right to share, or that infringes anyone else's rights;
  • try to access accounts, data or systems you are not authorized to access, or probe or test the Service's security without our written permission;
  • disrupt or overload the Service, or introduce malware;
  • scrape the Service or copy, resell or reverse engineer it, except where the law does not allow this restriction.

4. Your content

You keep ownership of the shipment data, documents and other content that you add to the Service ("Your Content"). You give us a limited license to host, store, process, transmit and display Your Content only as needed to provide and improve the Service for you and the people you choose to share it with. You are responsible for Your Content, including its accuracy and your right to share it. Our Privacy Policy explains how we handle personal information.

5. Shipping documents

Bolbase is software for managing shipment information and documents. We are not a carrier, freight forwarder, NVOCC, customs broker or bank, and we do not issue bills of lading or other transport documents. Unless we expressly state otherwise for a specific feature, documents held in Bolbase are not electronic bills of lading with legal effect as documents of title, and they do not replace original documents required by carriers, banks, authorities or your contracts. You remain responsible for the accuracy of your shipping documents and for complying with the laws and contracts that apply to your shipments.

If you sign a document electronically through the Service, you agree that your electronic signature is the legal equivalent of your handwritten signature on that document. You can ask for a paper copy at [email protected]. Signing a bill of lading draft does not make it a negotiable original.

6. Feedback

If you send us suggestions or feedback, we may use them without any obligation to you.

7. Our rights

The Service, including its software, design and the Bolbase name and logo, belongs to Bolbase and its licensors. These Terms do not give you any rights in them except the right to use the Service as these Terms allow.

8. Third-party services

The Service relies on third-party services such as Google and Microsoft for sign-in and Cloudflare for network delivery. Your use of those services is also governed by their own terms and policies. We are not responsible for third-party services.

9. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.

10. Limitation of liability

To the fullest extent permitted by law, Bolbase will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or cargo, or for delays, demurrage or detention, arising out of or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and USD 100. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

11. Indemnity

You will defend and indemnify Bolbase against claims, losses and costs (including reasonable legal fees) arising from Your Content or from your breach of these Terms or of applicable law.

12. Suspension and termination

You may stop using the Service at any time and ask us to delete your account. We may suspend or end your access if you breach these Terms, if required by law, or to protect the Service or its users. Sections that by their nature should survive termination (including 4 to 11 and 14) will survive.

13. Changes to these Terms

We may update these Terms as the Service develops. We will change the "Last updated" date above and, for significant changes, tell you on the site or by email before they take effect. If you keep using the Service after changes take effect, you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Bolbase is established, without regard to its conflict of laws rules, and disputes will be resolved by the courts of that jurisdiction, unless the law of your country requires otherwise.
